Terms governing access to and use of the Tipany website, app and payment services

These Terms of Service form a binding agreement between you and Tipany Technologies Ltd when you access or use Tipany. Please read them carefully. They explain how Tipany works, your responsibilities, and the rules that apply when you create a Tipany payment identity, receive or send money, or use any related feature.
Important: Tipany is a technology platform, not a bank. Regulated wallet, payment, settlement, identity-verification or other financial services may be provided by licensed banks, payment service providersor other regulated partners. Their additional terms may apply and will be made available where relevant.
In these Terms, “Tipany”, “we”, “us” and “our” mean Tipany Technologies Ltd. “Services” means the Tipany website, mobile application, web payment flows, Tipany ID, Tipany QR, TipEarn, Tip, Pay, TipChat, wallet interface, USSD, NFC and any related payment, support or communication feature that we make available.
"Tip" refers to spontaneous, gesture-based payments; "Pay" refers to standard direct payments between users; and "TipChat" allows a sender to attach a short preset message to a payment. “You” means any personwho visits, registers, pays, receives funds or otherwise uses the Services.
By creating an account, using a payment flow, clicking to accept, or otherwise using the Services, you agree to these Terms and any feature-specific terms shown to you. If you do not agree, do not use the Services.
You must be at least 18 years old, have legal capacity to enter a contract, and be permitted to use the Services under applicable law. The Services are designed exclusively for use in Nigeria. Some features may not be available in every location or to every user.
If you use Tipany for a business, organisation or another person, you confirm that you are authorised to bind them and that both you and they will comply with these Terms.
You may be asked to provide a mobile number, email address, legal name, date of birth, address, identity information, bank details or other information required to create, verify or operate your account. You must provide accurate and current information and promptly update it when it changes.
Your Tipany ID, personal link and QR code help people find and pay you. Your chosen display name, profile image, Tipany ID and other information you mark as public may be visible to anyone who has your link, scansyour QR code or searches for you through a supported feature. Do not include confidential or unlawful material in your public profile.
Tipany IDs are licensed to users, not sold. They must not impersonate another person, infringe rights, mislead users, contain offensive material or be traded without our permission. We may reject, reserve, reassign orremove a Tipany ID where reasonably necessary to protect users, comply with law, resolve a rights complaintor prevent abuse.
We and our regulated partners may conduct identity, bank-account, sanctions, politically exposed persons,anti-money laundering, counter-terrorist financing, fraud and other checks. We may request furtherinformation at any time. Access to a feature may be delayed, limited or refused if required information ismissing, inconsistent or cannot be verified.
You authorise us and our service providers to obtain, verify and share information for these purposes as permitted by law. Passing a check does not guarantee continued access; monitoring may continue throughout the relationship.
Tipany simplifies the receiving side of a payment. Depending on the feature, a payer may use a Tipany account, a supported web payment flow, a bank or payment app, QR, USSD, NFC or another supported method. A payer may not always need a Tipany account.
When you instruct or confirm a payment, withdrawal or transfer, you authorise Tipany and the relevant regulated partner to process it using the details presented or selected. Review the recipient, name, amount,fee and other details before confirming. A displayed name is a helpful check but is not a guarantee that you intended to pay that person.
A transaction may be pending, declined, reversed, delayed, blocked or cancelled because of insufficient funds, incorrect details, technical failure, partner or network availability, legal requirements, risk controls,limits or suspected fraud. “Instant” and similar descriptions refer to the normal user experience and do not guarantee completion within a fixed time.
Once a payment has been submitted to a payment network or completed, it may not be possible to cancel or reverse it. If you make a mistake, contact support immediately. Recovery is not guaranteed and may dependon the recipient, partner and applicable law.
Where available, funds received through Tipany may appear in a wallet or balance maintained by a licensed financial partner. Tipany does not accept deposits as a bank. Safe guarding, settlement and withdrawal arrangements are subject to the partner’s regulatory obligations and applicable terms.
You may fund or withdraw only through supported methods and accounts you are authorised to use. Withdrawal names may need to match verified account information. Holds, rolling reserves, limits oradditional checks may apply where reasonably necessary for security, disputes, reversals, legal obligations orrisk management.
Balances and transaction records shown in the Services may be updated after reconciliation. If you identify an error, notify us promptly and provide requested evidence.
Any Tipany fee will be disclosed before you confirm the relevant transaction or feature. Banks, telecommunications providers, card schemes, payment processors or other third parties may charge separate fees, data charges or USSD fees. Unless we expressly state otherwise, Tipany does not control those charges.
Transaction, wallet and withdrawal limits may depend on your verification tier, payment method, risk profile, partner rules and applicable regulation. We may change limits or fees prospectively, with notice where required by law. You are solely responsible for determining and meeting any tax, accounting or financial reporting obligations that arise from your use of the Services, including obligations relating to funds received via TipEarn, tips, or any other transfers made through Tipany, in Nigeria or any other applicable jurisdiction.
Tipany does not provide tax, accounting or financial advice and makes no representation as to whether any amount you send or receive through the Services is taxable, reportable, or subject to declaration in any jurisdiction. On request, we may provide a record of your transaction history for your convenience; this is not formal accounting documentation and does not substitute for your own financial record-keeping.
Tipany isnot liable for any penalty, fine, interest, or other consequence you incur as a result of your failure to meet your own tax, accounting or reporting obligations. This does not affect Tipany's own obligations to reportinformation to regulators or tax authorities where required by law, including under applicable anti-money laundering and counter-terrorist financing requirements.
Tipany may help service professionals, creators, merchants and other everyday earners receive payments orvoluntary tips. A “tip” remains a payment from the payer to the recipient. Tipany does not employ, endorse orsupervise the recipient and does not determine whether a tip is due.
If you receive payment for goods or services, you are responsible for accurately describing what you offer, delivering it lawfully, giving any required receipts, handling customer service, refunds and taxes, and complying with consumer-protection and sector-specific laws. Tipany is not a party to the underlying sale orservice unless we expressly say otherwise.
Refund availability depends on the payment method, status, recipient and applicable rules. Recipients must not refuse a refund where the law requires one. We or our partners may debit or place a hold on funds to address a chargeback, duplicate payment, reversal, refund, fraud claim, court order or network adjustment.
For an unauthorised or incorrect transaction, contact us as soon as possible through support@tipany.me and include the transaction reference, date, amount and an explanation. We may ask for identity or supporting evidence. Nothing in these Terms removes any mandatory right or allocation of liability under applicable law or a regulated partner’s consumer-protection obligations.
Disputes about the quality, delivery or legality of goods or services should first be raised with the recipient. We may assist with information or account controls but are not obliged to decide the underlying commercial dispute.
You must protect your device, PIN, password, one-time codes, biometrics and other security credentials; useonly official Tipany channels; check payment details; and notify us immediately if your device, SIM or credentials are lost, compromised or used without permission. Tipany will not ask you to disclose your PIN, password or one-time code outside an authorised sign-in or transaction flow.
You are responsible for activity authorized using your credentials unless applicable law provides otherwise.
We may require you to reset credentials, re verify your identity or take other steps to secure the account.
You must not use or attempt to use the Services to:
We may investigate suspected misuse, preserve relevant information, reject transactions, restrict features,suspend or close accounts, and report or disclose information to partners, regulators or law-enforcement authorities where lawfully required or reasonably necessary.
We aim to provide reliable Services but cannot guarantee uninterrupted or error-free availability. Maintenance, outages, telecom or banking disruptions, security incidents, regulatory changes and eventsbeyond our control may affect availability. We may add, modify, suspend or discontinue a feature. Where achange materially affects your rights or funds, we will provide notice where reasonably practicable and legally required.
You agree that we may send service, security, transaction, legal and account communications electronically, including by in-app message, push notification, email, SMS, USSD or the contact details associated with youraccount. Marketing communications are optional and may be withdrawn using the unsubscribe or preference method provided. Electronic records and confirmations may be used as evidence to the extent permitted bylaw.
Tipany and its licensors own the Services, software, brand, designs and related intellectual property. We grantyou a limited, personal, revocable, non-exclusive and non-transferable right to use the Services for their intended purpose while your account remains in good standing.
You retain ownership of the content you submit. You grant us a worldwide, non-exclusive, royalty-free licenceto host, reproduce, format and display that content only as needed to operate, secure, improve and promote the relevant feature. You confirm that you have the necessary rights and that the content is lawful. You may withdraw public profile content by removing it, subject to lawful retention of records and backups.
The Services may rely on or link to banks, payment processors, identity providers, telecommunications networks, app stores, websites and other third parties. Their services, availability and terms are outside our control. We are responsible for our own acts and omissions but not for an independent third party’s service merely because it is accessible through Tipany.
Our Privacy Policy explains how we collect, use, share, retain and protect personal data. We process personaldata in accordance with Nigeria's Data Protection Act and the NDPR. It forms part of the information governing your use of Tipany. Feature-specific notices may provide additional details at the point of collection.
You may request account closure through the available account settings or support channel, subject to completing pending transactions and satisfying lawful retention or dispute requirements. We may restrict,suspend or close your account if you breach these Terms, create risk, fail verification, remain inactive, misusethe Services, or if a partner, court, regulator or law requires it.
Where permitted, we will explain the action and available review process. Closure does not cancel accrued obligations, lawful holds, disputes, reversals or record-retention duties. Any undisputed available balance will be handled according to applicable law and partner procedures.
The Services are provided with reasonable care and skill. To the maximum extent permitted by law, we do not guarantee that every feature will always be available, that every user is trustworthy, that public profile information is accurate, or that a transaction will meet your personal or commercial expectations.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where applicable, or infringement ofmandatory consumer rights.
Subject to the previous paragraph, Tipany is not liable for indirect, incidental, special or consequential loss;loss of profit, opportunity, reputation or anticipated savings; losses caused by your incorrect instructions,compromised credentials or unlawful use; or failures caused by independent networks or events beyond ourreasonable control. Any other liability will be limited to the greater of the fees you paid Tipany for the affectedService during the preceding three months or ₦50,000, except where a different limit is required by law.
If you use Tipany for business purposes, you will compensate Tipany for reasonable losses, claims and costs arising from your unlawful goods or services, breach of these Terms, infringement of third-party rights or misuse of the Services. This does not apply to the extent a loss was caused by Tipany, and it does not reduceany mandatory consumer right.
Contact support@tipany.me with the subject “Complaint” and provide your registered details, transaction reference and a clear description. We will acknowledge, investigate and respond within the time frame required by applicable law or the relevant regulated partner’s complaint procedure. If you are not satisfied, wewill tell you about any available escalation route to the relevant financial partner, regulator or dispute-resolution body.
We may update these Terms to reflect new features, partners, risks, laws or business practices. We will publish the updated version and effective date. If a change materially reduces your rights or increases your obligations, we will provide advance notice where required. Continued use after the effective date means youaccept the updated Terms; if you do not agree, stop using the Services and close your account.
These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting court proceedings, you and Tipany should first try in good faith to resolve the dispute through the complaint process. Subject toany mandatory consumer right or regulator process, the courts of Nigeria have jurisdiction.
If a provision is unlawful or unenforceable, it will be limited or removed only to the extent necessary and the rest will continue. Our delay in enforcing a right is not a waiver. You may not transfer your account or rights without our consent. We may assign these Terms as part of a reorganisation, financing, merger, acquisition or transfer of the Services, provided your mandatory rights are not reduced. These Terms, the Privacy Policy, fee disclosures and any applicable feature or partner terms form the agreement for the Services.
